Presenting a structural model of corporate governance of East Azerbaijan Province Water and Wastewater Company with a performance evaluation approach for managers

Abstract

Corporate governance is a set of rules, controls, policies, and decisions that are made to guide a company, and the board of directors is its main stakeholder, and managers appointed by shareholders or other members of the board of directors are responsible for representing the interests of shareholders; therefore, awareness of the performance of managers in all aspects is vital for the company. The purpose of this study is to explain the structural model and present a structural model of corporate governance of East Azerbaijan Province Water and Wastewater Company with an approach to evaluating the performance of managers. The data collection tool was interviews with experts. For this purpose, in 1403, in-depth interviews were conducted with 42 expert academic members and managers of East Azerbaijan Province Water and Wastewater Company who were experts and experienced. In the quantitative part, the statistical population was all employees of East Azerbaijan Province Water and Wastewater Company, and 228 people answered the questionnaire questions using simple random sampling. The research data was analyzed in the quantitative part using the structural equation method and in the qualitative part using the content analysis method. Corporate governance indicators were obtained with a performance evaluation approach, including 6 main themes and 18 sub-themes, and were tested in the quantitative stage. The results showed that corporate governance has a significant effect on the evaluation of managers' performance.
